Good corporate governance underpins the resilience and integrity of our business.

We are committed to ensuring our systems, policies and procedures reflect a high standard of corporate governance.

We prioritise integrity, ethics and transparency in the way we conduct ourselves to ensure the best outcomes for customers, communities and our people.

Our governance system and Code of Business Conduct ensures that we:

  • always comply with the law
  • uphold proper and ethical business practices
  • are accountable for the decisions we make to the community, customers, government and our parent company
  • use resources responsibly and efficiently.

Corporate Governance framework

The John Holland Group Board of Directors has set a series of governance guidelines which reflect the minimum operating standards, together with control and reporting requirements, under which we must operate. 

For us, corporate governance is about the systems and processes used to ensure that employees who have control of any decision making are held accountable.

To comply with international best practice, we have adopted ten corporate governance principles to ensure compliance and optimise performance and accountability, and these have been embedded into our systems, processes, procedures and practices.

 

Code of Business Conduct

To put our values into practice, we have a clear Code of Business Conduct. The Code provides guidance for everyone who works with us. The Code demonstrates how to practically apply our commitments and values, and reflects the standards and procedures that apply across John Holland. 

We are committed to upholding proper and ethical business practices. The Code sets out our expectations and standards of behaviour across various areas, including unethical business practices, human rights and modern slavery, gifts and hospitality, conflicts of interest, and political contributions.

Supplier Code of Conduct

We think deeply about what we do and how it affects people and our planet, and this informs how we deliver the infrastructure, buildings and railways that we have been entrusted to build. Our suppliers are key to us achieving our purpose. We value our supplier relationships and expect the same high standards from our suppliers as we do from ourselves. 

Our Supplier Code of Conduct clearly outlines the expectations and behavioural standards we require from all our suppliers. To assist our suppliers in comprehending and meeting these standards, we offer a training module.

In alignment with our Supplier Code of Conduct, it is imperative that our suppliers are knowledgeable about and proactively prevent the risks associated with Modern Slavery. Our most recent Modern Slavery Statement is available for reference and can be found here.

Whistleblower Standard

Everyone is empowered to speak up if they become aware of unethical or unlawful conduct. To make sure this happens, we have a Whistleblower Standard that explains how to report wrongdoing, how we deal with reports and what protections are available to those who speak up. 

Access to our Speak Up Line is available to all current or former employees and to any third party including suppliers, subcontractors and customers who wish to report any concerns.

Our corporate governance framework provides clear separation of the Board’s oversight functions and executive responsibilities, and accountability of the CEO and management team. 

The Board of Directors is responsible for our long-term success and managing our business affairs to the highest standards of corporate governance. The Board operates in accordance with a Board Charter which set outs the division of responsibilities between the Board (and its five standing Committees) and management.

To assist the Board in discharging its responsibilities, the Board has implemented a tiered corporate governance framework which provides for the delegation of functions to a number of Board Committees.

Our parent company, CCCI, is a wholly owned subsidiary of China Communications Construction Company Limited (CCCC), which is dual-listed on the Hong Kong (1800.HK) and Shanghai (601800.SH) Stock Exchanges.
